Terms of Service
Effective November 4, 2026Last updated November 4, 2026
These Terms of Service (“Terms”) govern access to and use of the Opsvian AI website and services (together, the “Service”) provided by Opsvian AI (“Opsvian”, “we”, “us” or “our”). By using the Service, creating an account or accepting an invitation, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent. If you do not agree, do not access or use the Service.
If you use the Service for an organization, you represent that you have authority to bind that organization to these Terms. References to “you” include that organization and its authorized users where applicable.
1. Invitation-only access and accounts
Access to Opsvian AI is invitation-only. Submitting an invitation request does not create an account, guarantee access or create a customer relationship. We may approve, decline or ask for more information about any request.
Approved users receive a unique invitation link. Invitation links may be single-use, time-limited and revoked for security reasons. You must provide accurate account information, keep your login credentials confidential and tell us promptly about any suspected unauthorized access. You are responsible for activity under your account, except to the extent caused by our breach or as otherwise required by law.
Workspace administrators are responsible for managing authorized users, assigning appropriate roles and removing access when it is no longer required.
2. The Service
Opsvian provides software designed to connect authorized business tools, organize operational context, surface workflow and workload insights, and assist with tasks and workflows using AI. Features and connected services may change as the Service is maintained and improved. We will describe material changes or interruptions where required by law or contract.
The Service may depend on third-party services and APIs. We do not control those services, and their availability, functionality and terms may affect the Service.
3. Acceptable use
You agree not to, and not to allow another person to:
- Use the Service in violation of applicable law or another party’s rights.
- Access or attempt to access data, accounts or systems without authorization.
- Upload malicious code or interfere with the security, integrity or availability of the Service.
- Probe, scan or test vulnerabilities except where we have expressly authorized the activity.
- Reverse engineer or attempt to extract source code, underlying models or non-public components, except to the extent this restriction is prohibited by law.
- Use the Service to make unlawful, discriminatory, deceptive or harmful decisions about individuals.
- Use workforce insights as the sole basis for employment, disciplinary, promotion or termination decisions.
- Circumvent permissions, access controls, approval requirements, usage limits or invitation controls.
- Resell, sublicense or make the Service available to unauthorized third parties except as permitted by a written agreement.
4. Customer data and connected services
As between the parties, you keep your rights in the content and data that you or your users submit to the Service or make available through connected services (“Customer Data”). You grant Opsvian a limited, non-exclusive right to host, process, transmit and use Customer Data only as necessary to provide, secure, support and improve the Service, to comply with law and to perform our agreement with you. Any broader use requires a separate valid basis or agreement.
You represent that you have the rights, permissions and legal authority needed to submit Customer Data and to authorize the integrations and processing you configure. You are responsible for providing notices and obtaining consents required from employees, customers or other individuals whose information is included in Customer Data.
You must not connect a third-party account or source unless you are authorized to do so. Third-party services remain subject to their own terms and privacy policies.
5. AI-generated outputs and actions
The Service may generate summaries, recommendations, classifications, drafts, analyses or other outputs using artificial intelligence. AI outputs may be inaccurate, incomplete, outdated or inappropriate for a particular purpose. They are provided as assistance and are not a substitute for professional judgment.
You are responsible for reviewing AI outputs before relying on them and for deciding whether an action should be taken. You must configure permissions and approval settings appropriately. Opsvian may require human approval for certain actions, but you remain responsible for reviewing proposed actions and making sure that connected accounts and recipients are correct.
Do not rely on the Service as the sole source for legal, financial, medical, employment or other high-impact decisions. The Service is not designed to determine an individual’s intent to resign, diagnose a medical condition or independently assess an employee’s worth or performance.
6. Privacy and data processing
Our collection and use of personal information is described in the Privacy Policy, which forms part of these Terms. If you use the Service for an organization and applicable data protection law requires a data processing agreement, the parties will enter into the appropriate agreement before the relevant processing begins.
7. Fees and payment
Any fees, billing cycle, usage limits, taxes, renewal terms, cancellation rights and payment obligations will be presented in an order form, subscription page or separate agreement before a paid subscription begins. No fee is charged for submitting an invitation request. If the Service is offered on a paid basis, you agree to pay the fees specified in the applicable commercial terms.
8. Intellectual property
Opsvian and its licensors keep all rights in the Service, software, documentation, designs, names, logos and related intellectual property, excluding Customer Data and third-party materials. These Terms give you a limited, non-exclusive, non-transferable and revocable right to use the Service for your internal business purposes during the applicable access period.
If you give us feedback, you grant us the right to use it to improve the Service without restriction or payment. This does not transfer ownership of your Customer Data.
9. Third-party services
The Service may interoperate with third-party products and services. Your use of those products is governed by your agreement with the relevant provider. We are not responsible for third-party products, their content, security, availability or changes to their APIs, except to the extent liability cannot be excluded under applicable law.
10. Confidentiality
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect that information and use it only for purposes related to the Service and the parties’ relationship. This section does not apply to information that is public without breach, already lawfully known to the recipient, independently developed or lawfully received from another source. A separate confidentiality or data processing agreement may provide additional terms.
11. Suspension and termination
We may suspend or restrict access if reasonably necessary to protect the Service, users or third parties, investigate suspected abuse, respond to a security incident, comply with law or address a material breach of these Terms. Where reasonably practicable, we will give notice and an opportunity to address the issue.
You may stop using the Service and request account closure through your workspace administrator or by contacting us through the contact form. When your access ends, Customer Data will be handled according to the Privacy Policy, the applicable agreement and legal requirements.
12. Service availability and changes
We will use reasonable efforts to operate and maintain the Service, but we do not guarantee uninterrupted or error-free availability unless a separate service-level agreement says otherwise. We may update, improve or modify features. Material changes will be communicated where required by law or contract.
13. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and any warranties arising from course of dealing or usage of trade. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, data or business opportunity arising out of or related to the Service.
To the maximum extent permitted by law, each party’s total liability arising out of or related to the Service will not exceed the greater of the fees you paid to Opsvian for the Service in the twelve (12) months before the event giving rise to the claim, or one hundred US dollars (US$100). These limitations do not apply to liability that cannot be limited under applicable law.
15. Indemnification
To the extent permitted by law, you agree to defend and indemnify Opsvian and its personnel against third-party claims, losses and reasonable costs arising from your unlawful use of the Service, your breach of these Terms or your failure to obtain rights, notices or consents for Customer Data you provide. A negotiated customer agreement may modify this section.
16. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Opsvian AI is established, without regard to conflict-of-law rules. The courts of that jurisdiction have exclusive jurisdiction over disputes arising from these Terms, unless applicable law requires another forum. Before starting a formal dispute, both parties agree to try to resolve the matter in good faith.
17. Changes to these Terms
We may update these Terms from time to time. We will update the “Last updated” date and give notice of material changes where required by law. Continued use of the Service after updated Terms take effect means you accept the revised Terms, to the extent permitted by law.
18. General
These Terms, together with any applicable order form, data processing agreement and policies incorporated by reference, form the agreement between you and Opsvian about the Service. If a provision is unenforceable, the remaining provisions continue in effect. You may not assign these Terms without our written consent, except as part of a merger or sale of substantially all relevant assets where permitted by law. We may assign these Terms to an affiliate or successor. No waiver is effective unless it is in writing.
19. Contact
Questions about these Terms can be sent to Opsvian AI through our contact form. We will reply by email.
